FREELANCER ADDENDUM

In this Freelancer Addendum, the terms and conditions which specifically apply to Freelancers are explained.  Capitalised Terms that are not defined in this Freelancer Addendum shall have the meaning given to them in the Terms and Conditions.

Before registering on the Site, every Freelancer must read the Terms and Conditions, this Freelancer Addendum and the Freelancer Privacy Policy which together form a legally binding contract between the Freelancer and Workfree regarding access to and use of the Site to the exclusion of all other terms and conditions (together the “Client Terms and Conditions”).  To confirm that you have done so and to create your Workfree Freelancer account, please accept the Terms and Conditions, this Freelancer Addendum and the Freelancer Privacy Policy when prompted to do so during the registration process.

  1. Definitions and Interpretation

In this Freelancer Addendum, unless the context otherwise requires, the following expressions have the following meanings:

“Freelancer Privacy Policy” has the meaning given to it in clause 5.2; and

“Terms and Conditions” means Workfree’s terms and conditions for registered users; Terms and Conditions

  1. Payment for the Service
  1. Freelancers shall not pay Workfree to register a profile on the Site.
  2. Freelancers shall not pay any commission to Workfree in respect of any sums it receives pursuant to or in connection with a Project Agreement.
  3. There is no assurance or guarantee that a Freelancer will enter into any Project Agreements as a result of registering on the Site.
  4. Freelancers covenant that they shall submit all invoices payable by a Client pursuant to a Project Agreement through the Workfree platform.
  5. Freelancers acknowledge that the Client has the option, but is not obliged, to pay invoices submitted by a Freelancer to a Client pursuant to a Project Agreement through the integrated payment system on Workfree’s platform.  It is the responsibility of the Freelancer to understand how such invoices shall be paid before entering into a Project Agreement.  Workfree has no responsibility for the payment of such invoices.
  6. The Freelancer may, but is not obliged, to connect its own Stripe connect account (Stripe Connect) to its account on the Workfree platform and, with the agreement of the Client, and provided that the Freelancer and Client are operating in a jurisdiction which allows payment by Stripe connect, arrange for any invoices submitted to a Client pursuant to a Project Agreement to be paid via the Stripe connect account. Any processing fees and currency conversion risk/fees are to be paid and assumed by the Freelancer.
  1. Termination
  1. Freelancers may close their account with Workfree at any time without cost but Freelancers remain liable for all obligations related to their Workfree account even after closure, including performing obligations under any Project Agreements entered into by that Freelancer.
  2. Workfree may close a Freelancer account if the account is inactive for more than 6 months.
  1. Accurate Information

When registering on the Site, you warrant that:

  1. you are 18 years of age or older;
  2. the information you include on the Site is true, accurate and up-to-date;
  3. you shall maintain and promptly update your information on the Site.
  1. Data Protection and Privacy
  1. Workfree collects, holds and processes all personal data in accordance with your rights and our obligations under the Data Protection Act 2018 (the “Act”), and takes appropriate steps to ensure that your information is protected consistent with the principles set out in the Act, any other privacy laws, the Terms and Conditions, this Freelancer Addendum and our Freelancer Privacy Policy, whether that information is held by Workfree or shared by Workfree with third parties.

  1. No Employment Relationship

ANY PROJECT AGREEMENT ENTERED INTO BY YOU IS AN AGREEMENT FOR THE PROVISION OF SERVICES AND NOT A CONTRACT OF EMPLOYMENT.  YOU SHALL BE FULLY RESPONSIBLE FOR, AND WORKFREE SHALL HAVE NO RESPONSIBILITY FOR, THE PAYMENT OF ANY TAXES, NATIONAL INSURANCE AND SOCIAL SECURITY CONTRIBUTIONS AND ANY OTHER LIABILITY, DEDUCTION, CONTRIBUTION, ASSESSMENT OR CLAIM ARISING FROM OR MADE IN CONNECTION WITH THE PERFORMANCE OF ANY PROJECT AGREEMENT.
