Client Addendum 

 

In this Client Addendum, the terms and conditions which specifically apply to Clients are explained.  Capitalised Terms that are not defined in this Client Addendum shall have the meaning given to them in the Terms and Conditions.

Before registering on the Site, every Client must read the Terms and Conditions, this Client Addendum and the Client Privacy Policy which together form a legally binding contract between the Client and Workfree regarding access to and use of the Site to the exclusion of all other terms and conditions (together the “Client Terms and Conditions”).  To confirm that you have done so and to create your Workfree Client account, please accept the Terms and Conditions, this Client Addendum and the Client Privacy Policy when prompted to do so during the registration process.

  1. Definitions and Interpretation

In this Client Addendum, unless the context otherwise requires, the following expressions have the following meanings:

3. Additional Services” means the services provided by Workfree and offered on the Site from time to time in addition to the Service which require an additional fee and which may be subject to additional terms;

Client Privacy Policy” has the meaning given to it in clause 6.2;

Fees” means the amount payable by the Client to Workfree for the provision of the Service;

Integrated Payment System” means the online payment system allowing Clients to pay Fees to Workfree (and other amounts in connection with the Additional Services if such services are purchased);

Payment Processing Fee” means, in respect of any Project Agreement, a sum equal to 3.9% of the Project Fees for that Project Agreement;

Payment Service Provider” means the payment services being undertaken by Stripe Payments UK Limited, a company registered in England with registered number 8480771 and with its registered offices at 9th Floor, 107 Cheapside, London EC2V 6DN;

Project Fees” means the fees payable by a Client to a Freelancer pursuant to a Project Agreement;

Terms and Conditions” means Workfree’s terms and conditions for registered users;

2. Payments

    1. The Client shall select the plan it requires in respect of the Service at the time of registration on the Site
    2.  The Client shall pay the Fees for the plan it selects (if any) in the amount and at the frequency agreed at the time of registration on the Site or as otherwise notified to the Client on reasonable notice from time to time.
    3. The Client shall pay all Fees (if any) through the Integrated Payment System.
    4. The Client may pay the Project Fees to the Freelancer through the Integrated Payment System but is not obliged to do so.  
    5. If the Client chooses to pay Project Fees to the Freelancer through the Integrated Payment System, the Client shall pay Workfree a Payment Processing Fee.  The Payment Processing Fee shall be payable to Workfree at the time of payment of the Project Fees.
    6. The Client covenants that once Project Fees are paid to a Freelancer (whether through the Integrated Payment System or otherwise), it shall promptly update its area of the Workfree platform to indicate that the relevant Project Fees have been paid.

3. Additional Services

      1. In addition to the Service, the Client may choose to subscribe for, or purchase, one or more Additional Services.
      2. If you subscribe for or purchase Additional Services, you shall be required to pay extra fees in consideration of those Additional Services in addition to the Fees and separate terms and conditions may apply.

4. Termination

    1. Unless the terms of the plan selected by the Client indicate otherwise, the agreement for the provision of Services shall continue until the either the Client or Workfree gives the other party at least 30 days’ notice in writing of termination.

5. Third Parties Terms and Conditions

To use the Integrated Payment Service, you must agree to the Payment Service Provider’s terms and conditions as found at stripe.com/legal .  These terms must be separately accepted by you. Workfree has no responsibility for the services provided by the Payment Service Provider.

5. Data Protection and Privacy

      1. Workfree collects, holds and processes all personal data in accordance with your rights and our obligations under the Data Protection Act 2018 (the “Act”), and takes appropriate steps to ensure that your information is protected consistent with the principles set out in the Act, any other privacy laws, the Terms and Conditions, this Client Addendum and our Client Privacy Policy, whether that information is held by Workfree or shared by Workfree with third parties.

6. Freelancers

You agree and acknowledge that the Service is to facilitate the onboarding and management of Freelancers by Clients and that the Site must not be used to procure employees unless otherwise agreed in writing with Workfree and on such terms and conditions as shall be required by Workfree at that time
